The Respondent had originally been engaged to deliver CGI content worth RM1 million but failed to complete the project within the stipulated time. Following disputes, the parties executed a Settlement Agreement and a Supplementary Agreement on 20 September 2022 that outlined a mechanism for introducing a purchaser for the incomplete project. The Sessions Court treated the settlement payment as immediately payable. On appeal, the Court held that both agreements must be read together as a composite arrangement, making payment conditional upon the successful sale of the Soulbond Project. The appeal was allowed, the judgment varied, and costs awarded to the Appellant.
