Issues are inter alia whether the Defendant had breached the agreement and whether the Plaintiff is estopped by virtue of conduct – whether the non-waiver clause is applicable – whether the Plaintiff’s expert evidence on the market value of the shares can be relied upon when there was no competing expert witness. Court: The Plaintiff’s claim is partially allowed i.e. the Defendant is liable to pay interest for failing to provide security properties and its shares to be transferred to the Plaintiff if the interest payment is not made.
