The plaintiffs who are beneficial owners of a residential property claimed that a binding sale and purchase agreement had been concluded with the defendant through correspondence. The defendant repudiated the contract citing relocation abroad and later denied any concluded agreement. The defendant further made a counterclaim for the return of the deposit paid. The court held that a valid contract existed, the defendant’s conduct amounted to clear repudiation and the plaintiffs’ subsequent sale of the property was a proper exercise to mitigate losses. Judgment was entered for the plaintiffs with damages in lieu of specific performance. The counterclaim was dismissed.
